Butzel Long adds attorneys specializing in intellectual property and complex business matters
DETROIT, Mich. – Butzel Long continues to grow with the addition of attorneys Stephen G. Janoski and Donald V. Orlandoni as shareholders. Janoski is based in the firm’s Washington, D.C. office and Orlandoni is based in Butzel’s Detroit office.
Stephen G. Janoski
Janoski has more than 25 years of experience focused on representing companies and individuals in Trademarks and Branding, Copyrights, Entertainment and Sports, U.S. Litigation & Enforcement, Licensing, and Intellectual Property Portfolio Management.
His practice has included thousands of mark availability searches and opinions, including strategic application filings to protect brands and related intellectual property rights worldwide. This work has resulted in well over 1,000 registrations for companies and individuals in wide-ranging industries including: hospitality, technology, entertainment, toy, publishing, financial, telecommunications, industrial and consumer products.
Janoski’s experience in litigation, enforcement and dispute resolution includes: securing the seizure of counterfeit products working with Customs agencies, and the shut-down of infringing operations and on-line Web sites.
He has been successful obtaining money damages in copyright and trademark infringement court proceedings; and awarded favorable precedential decisions for his clients before the U.S. Patent and Trademark office’s Trademark Trial and Appeal Board. He also has been successful in arbitration proceedings to transfer ownership of infringing domain names or Web addresses.
In the area of technology transactions, Janoski has prepared and negotiated numerous licensing agreements and contracts bearing on the development and use of software and Internet commerce. His practice has included obtaining many copyright registrations for software and computer-related technologies.
In corporate-related intellectual property work, Janoski works closely with company executives and entrepreneurs to implement best practices and pragmatic solutions for safeguarding proprietary rights and assets. For such clients, he also undertakes due diligence of the intellectual property assets involved in company mergers and acquisitions.
Janoski’s entertainment and sports transactions have included: negotiated deals for cable television series; licensing and merchandising agreements; creative endeavor employment, work for hire and “talent” agreements. He also has prepared celebrity endorsement and appearance agreements, motion picture and merchandise “tie-in” agreements and life rights agreements. In addition to copyright registrations for software and computer-related technologies, Janoski has registered copyrights covering toys, music, literary and audiovisual works, and other media programs and films.
Donald V. Orlandoni
Orlandoni represents companies and individuals in complex business and commercial matters. He has a record of achieving positive outcomes for his clients through experienced counseling and in pre-lawsuit negotiations, state and federal court litigation, arbitration, and other forms of alternative dispute resolution.
Orlandoni has expertise in the following areas:
- Commercial contract disputes, including manufacturing supply-chain and other disputes arising under the Uniform Commercial Code (UCC)
- Business disputes involving breach of fiduciary duty, fraud, conversion, negligence, and other torts
- Non-compete and trade secret litigation
- Franchising and distribution disputes involving trademark, trade secret, non-compete, and other contract claims
Orlandoni has successfully represented clients across a wide range of industries, including automotive, aerospace, and other manufacturers. He has substantial experience in the following areas:
- Consumer and commercial financial services litigation
- WARN Act litigation
- Defense of insurance companies
- Legal malpractice defense
- OSHA and MIOSHA claims
- Avoidance (preference) actions and claims litigation in commercial bankruptcies
In those capacities, he has successfully represented manufacturers, banks, commercial lenders and loan servicers, private equity firms, as well as property, casualty, life, and commercial insurance companies.
Before he became a lawyer, Orlandoni worked in the automotive and pharmaceutical industries. He also served as an Infantry Officer in the United States Marine Corps.
Orlandoni earned a J.D., cum laude, Order of the Coif, from Wayne State University Law School, where he was assistant editor of The Wayne Law Review. He received a B.S. from the United States Naval Academy.
