New York, NY – Butzel Long is acting as special counsel to Parsons Brinckerhoff Inc. in connection with the merger agreement recently announced with Balfour Beatty plc.
Balfour Beatty has agreed to buy Parsons Brinckerhoff for approximately $626 million.
Parsons Brinkerhoff, which is employee-owned, is an engineering, strategic consulting, planning and program/construction management firm founded in New York City in 1885. In 2008, Parsons Brinckerhoff had revenues of $2.34 billion and approximately 13,000 employees in over 100 offices worldwide. The publicly traded Balfour Beatty (London Stock Exchange, BALF.L) has approximately 40,000 employees and last year had revenues of approximately $15 billion.
Richard S. Green, a shareholder of Butzel Long based in the firm's New York office, who has represented Parsons Brinckerhoff on a variety of matters for many years, has been providing advice on corporate and securities law matters in connection with the transaction, including the preparation of the proxy statement and amendments to certain of Parsons Brinckerhoff's governing documents in connection with the merger.
